These Terms & Conditions ("Terms") govern your use of the website citronsemi.com and any quotation, order or service provided by Citron Technology (Shenzhen) Co., Ltd. ("CitronSemi", "we", "us" or "our"), unless a separate written agreement applies. By accessing or using the website, you agree to these Terms.

The content on this website is provided for general information only and does not constitute a binding offer, legal or professional advice, or a guarantee of availability, price, specification or delivery.

Product names, manufacturer names, trademarks and part numbers are used for identification purposes only and remain the property of their respective owners. Written quotations issued by CitronSemi take precedence over information published on the website.

Quotations are based on the information available at the time of issue and may be subject to change based on market availability, supplier confirmation, currency movements, taxes, duties and other factors outside our control.

Unless stated otherwise in the quotation, quotations are valid for the period stated in the quotation or, if no period is stated, for seven (7) calendar days from the date of issue.

An order is only binding when CitronSemi confirms it in writing. Customer purchase orders, emails or messages do not create a binding contract until confirmed by us. We may decline an order where a part is unavailable, where supplier information cannot be verified, or where we cannot comply with applicable law.

Prices are stated in the currency shown in the applicable quotation or order confirmation and exclude any taxes, duties, customs charges or bank fees unless expressly stated otherwise. Payment terms are set out in the quotation or order confirmation. We may require advance payment for first orders or for specially sourced items.

Delivery dates are estimates based on supplier lead times and logistics availability and are not guaranteed unless expressly agreed in writing. Delivery terms and the point at which title and risk transfer are governed by the Incoterms or other delivery terms stated in the quotation or order confirmation.

The customer should inspect goods promptly after delivery and notify us in writing of any shortage, damage or visible non-conformity within the period stated in the order confirmation or, if no period is stated, within seven (7) calendar days of delivery. Claims received after this period may not be accepted.

Where goods are damaged in transit, the customer should also notify the carrier in accordance with the applicable transport terms.

Returns, cancellations and order changes require our prior written agreement. Components that have been specially sourced, procured to customer specification, or are otherwise non-standard may not be returnable or cancellable.

Where we agree to a return, the customer may be responsible for restocking, logistics and related costs, and returned goods must be in the condition in which they were supplied.

CitronSemi is an independent sourcing company. Unless expressly stated in writing, we are not an authorised distributor, manufacturer representative or manufacturer.

We use reasonable efforts to source through credible channels and to review available documentation, packaging information and product markings. Any inspection, testing or documentation service is subject to the scope agreed for the specific order.

Unless expressly agreed in writing, we do not provide a blanket guarantee that every item is original, and we do not assume responsibility for verifying the suitability of a component for a particular application.

The customer is responsible for providing accurate part numbers, specifications, quantities and technical requirements; for confirming that products meet its application, regulatory and quality requirements; and for complying with all applicable laws, including export control, sanctions, customs and import or export requirements.

All content on this website, including text, layout, graphics, logos and code, is owned by or licensed to CitronSemi and is protected by applicable intellectual property laws. You may not reproduce, distribute or use such content without our prior written permission, except as permitted by law.

To the maximum extent permitted by applicable law, the total liability of CitronSemi arising out of or in connection with any order or use of the website is limited to the amount paid or payable to CitronSemi for the relevant order. We are not liable for indirect, incidental, special, consequential or punitive damages, loss of profit, loss of production or loss of business opportunity.

These Terms are governed by the laws of the People's Republic of China, excluding its conflict-of-law rules. Any dispute arising out of or in connection with these Terms or a transaction with CitronSemi shall be submitted to the competent court in Shenzhen, Guangdong Province, China, unless a separate written agreement provides otherwise.

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the website after changes are posted constitutes acceptance of the updated Terms.
